By using the Service you agree to be bound by these Terms. If you do not agree, please do not use the Service.

1. The Service

PDF Ninja Tools provides browser-based and server-assisted tools for working with PDF and related document formats (merging, splitting, converting, compressing, protecting, etc.). Most operations run locally in your browser; certain conversions (for example Office document conversions) are processed by trusted third-party processors on our behalf.

2. Accounts

You may use many features without an account. To purchase or use Processing Points, you must create an account and provide accurate information. You are responsible for safeguarding your credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized use.

3. Processing Points

PDF Ninja Tools may offer customers the ability to purchase Processing Points for use with eligible document-processing services available through the platform.

Processing Points are service usage units only. They do not constitute money, electronic money, cryptocurrency, virtual currency, stored monetary value, a bank balance, a deposit, or any other financial instrument.
Processing Points may only be used to access eligible services provided through PDF Ninja Tools.
Processing Points cannot be withdrawn, redeemed for cash, exchanged for money, transferred to another user, or used as payment outside the PDF Ninja Tools platform.
The number of Processing Points required for a particular service may vary depending on the type of processing performed. The applicable number of Points will be displayed before or during use of the relevant service.
The purchase price of a Processing Points package represents the price paid for access to digital processing services and does not establish a monetary value for each individual Point.
Free usage. Each visitor receives one free document processed by tools that require Processing Points. Authenticated users also receive one free document tied to their account.
Availability. Processing Points currently do not expire and remain available in your account until they are used, unless we notify you otherwise with at least 30 days' notice.
Refunds. Processing Points that have been used are not refundable. Refund eligibility relates to the original purchase transaction and is subject to our Refund Policy, our discretion, and applicable law (including the EU right of withdrawal, where applicable).
Taxes. Prices are exclusive of VAT and other applicable taxes unless stated otherwise.

4. Acceptable use

You agree not to use the Service to:

upload or process content that is unlawful, infringing, defamatory, or harmful;
circumvent technical protections or Processing Points limits, including by automated means;
attempt to access another user's account or data;
upload malware, or attempt to disrupt or reverse engineer the Service;
process material protected by copyright without the necessary rights, including DRM-protected PDFs you do not own or have permission to modify.

5. Your content

You retain all rights to the documents you upload or process ("Your Content"). You grant us a limited, non-exclusive licence to temporarily host, transmit and process Your Content solely for the purpose of providing the requested operation and returning the result to you. Where conversions are performed server-side, files are stored only for as long as needed to complete processing and are then deleted. Browser-side tools never transmit your files to our servers.

6. Intellectual property

The Service, including its software, design, branding and content, is owned by Typhon S.R.L or its licensors and is protected by intellectual property laws. Subject to these Terms, we grant you a personal, non-transferable, revocable licence to use the Service.

7. Third-party services

We rely on third parties for hosting, payment processing, analytics and certain conversion features. Your use of those features is also subject to the relevant third-party terms. We are not responsible for third-party services we do not control.

8. Disclaimer of warranties

The Service is provided "as is" and "as available"without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that processed files will be free from defects.

9. Limitation of liability

To the maximum extent permitted by law, Typhon S.R.L and its officers, employees and suppliers will not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, revenue, data, or goodwill arising out of or in connection with your use of the Service. Our total aggregate liability for any claim arising out of or relating to the Service is limited to the amount you paid us in the twelve (12) months preceding the event giving rise to the claim, or EUR 50, whichever is greater.

Nothing in these Terms limits liability that cannot be excluded under applicable mandatory law (including, for consumers in the EU, statutory rights).

10. Indemnity

You agree to indemnify and hold harmless Typhon S.R.L from any claims, damages, liabilities, costs and expenses (including reasonable legal fees) arising out of your breach of these Terms or your misuse of the Service.

11. Suspension and termination

We may suspend or terminate your access to the Service at any time if you breach these Terms or use the Service in a way that could cause us legal liability or disrupt others' use. You may stop using the Service at any time; you may also delete your account by contacting us.

12. Changes to the Service or Terms

We may modify the Service and these Terms from time to time. Material changes will be announced on the website and will take effect on the date indicated. Continued use after the effective date constitutes acceptance.

13. Governing law and jurisdiction

These Terms are governed by the laws of Romania, without regard to its conflict of laws rules. The competent courts of Bucharest, Romania, will have exclusive jurisdiction over any dispute, subject to any mandatory consumer protection rules that grant you the right to bring proceedings in your country of residence.
